AGENCY AGREEMENT
An Agreement made this…….day of……….. between………….whose registered office is situated at………………………(hereinafter called 「the principal」) of the one part and……………..(herein after called 「the Agent」) of the other part.
Whereby it is agreed as follows:
1. The Principal appoints the Agent as and from the…..to be its Sole Agent in ……..(Hereinafter called 「the area」) for the sale of. ………Manufactured by the Principal and such other goods and merchandise (all of which are hereinafter referred to as 「 the goods」) as may hereafter mutually agreed between them.
2. The Agent will ring the term of…...Years (and thereafter until determined by either party giving three month』 previous notice in writing diligently and faithfully serve the Principal as its Agent and will endeavor to extend the sale of the goods of the principal within the area and will not do anything that may prevent such sale or interfere with the development of the principal』s trade in the area.
3. The Principal will from time to time furnish the Agent with a statement of the minimum prices at which the goods are respectively to be sold and the Agent shall not sell bellow such minimum price but shall endeavor in each case to obtain the best price obtainable.
4. The Agent shall not sell any of the goods to any person, company, or firm residing outside the area, nor shall he knowingly sell any of the goods to any person, company, or firm residing within the area with a view to their exportation to any other country or area without consent in writing of the Principal.
5. The Agent shall not ring the continuance of the Agency constituted sell goods or of a similar class or such as would or might compete or interfere with the sale of the Principal』s goods either on his own account or on behalf of any other person.
6. Upon receipt by the Agent of any order for the goods the agent will immediately transmit such order to the Principal who (if such order is accepted by the Principal) will execute the same by supplying the goods direct to the customer.
7. Upon the execution of any such order the Principal shall forward to the Agent a plicate of the invoice sent with the goods to the customer and in like manner shall from time to time inform the Agent when payment is made by the customer to the Principal.
8. The Agent shall ly keep an account of all orders obtained by him and shall every three months send in a of such account to the Principal.
9. The Principal shall allow the Agent the following commissions (based on FOB…… values) in respect of all orders obtained direct by the Agent in the Area, which have been accepted and executed by the Principal. The said commission shall be payable every three months on the amounts actually received by the Principal from the customers.
10. The Agent shall be entitled to commission on the terms and conditions mentioned in the last preceding clause on all export orders for the goods received by the Principal through Export Merchants, Indent Houses, Branch Buying office of customers, and Head Offices of customers situate in the… for export into the area. Export orders in this clause mentioned shall not include orders for the goods received by the Principal from and sold delivered to customers』 principal place of business outside the area although such goods may subsequently be exported by such customers into the area, excepting where there is conclusive evidence that such orders which may actually be transmitted via the head Office in are resultant from work done by the Agent with the customers.
11. Should any dispute arise as to the amount of commission payable by the Principal to the Agent the same shall be settled by the Auditors for the time being of the Principal whose certificate shall be final and binding on both the Principal and the Agent.
12. The Agent shall not in any way pledge the credit of the Principal.
13. The Agent should not give any warranty in respect of the goods without the authority in writing of the Principal.
14. The Agent shall not without the authority of the Principal collect any moneys from customers.
15. The Agent shall not give credit to or deal with any person, company, or firm, which the Principal shall from time to time direct him not to give credit to or deal with.
16. The Principal shall have the right to refuse to execute or accept any order obtained by the Agent or any part thereof and the Agent shall not be entitled to any commission in respect of any such refused order or part thereof so refused.
17. All questions of difference whatsoever which may at any time hereafter arise between the parties hereto or their respective representatives touching these presents or the subject matter thereof or arising out of or in relation thereto respectively and whether as to construction or otherwise shall be referred to arbitration Act 1950 or any re-enactment or statutory modification thereof for the time being in force.
18. This Agreement shall in all respects be interpreted in accordance with the Law of England.
As witness the hands of the Parties hereto the day and year first hereinbefore written.

注釋:這些是程租合同里常見的船舶資料,有時根據承運的貨物情況和租家的要求還會適當增加其他相關的資料,比如,裝載特殊規格貨物時,租家會要求在合同上註明艙口尺寸,以確定貨物可以裝進船艙。船東負有正確陳述船舶詳情的義務,如果他有意或無意中因疏忽而誤述了有關資料,可能會給他帶來額外的麻煩和損失。如,有的貿易合同里要求負責租船的賣方必須找20年以下的船舶來承運合同貨物,結果船東為了迎合租家的需要,謊報船齡,不料後來東窗事發,被收貨人察覺,為此拒絕收貨,從而使賣方遭受重大損失,那麼船東是不是該負起賠償責任呢?所以船東千萬不要抱著僥幸心理,以為這種事是天知地知還有他知,不會泄露出去,事實上要查證起來是相當容易的。

注釋:在貨物詳情條款里,除了約定本航次裝載的貨物品名外,通常還要註明貨物的包裝情況,如是散裝,裸裝或是袋裝或木箱裝的,規格多大等,並且要訂明是由誰來選擇貨量的增減幅度。爭取到貨量選擇權一方就握有主動權,在裝貨時可以根據自己船舶的載貨能力或備貨情況,銷售需要等決定要多裝或少裝。一般船東在船舶載貨能力許可的條件下,總是希望盡可能多裝貨,以增加運費收入,提高經濟效益;而租船人究竟要裝多少,一看合同和L/C規定,二看自己備貨的情況,當然也是以自己的利益為優先考量的。積載因素對於輕貨來講尤其重要,這關繫到貨物能否裝得下的問題,也直接影響到船東的運費收入。因而船東都希望租家能正確提供貨物的積載因素,並作出保證,而租家習慣上喜歡在積載因素後加上「WOG」,(without guarantee),這和船東習慣在船舶資料後加上「ADA」(all details about)是一樣的道理,都是企圖逃避嚴格保證的責任。

注釋:1SBP(one safe berth, one safe port)這是實務中常用的一個術語,表示租家應提供一個安全港口的一個安全泊位,那麼如果港口或泊位不安全時,是不是租家就必須承擔起賠償責任呢?如果合同里採用的是本例的表達方式,那麼安全港的責任應該由船東承擔,因為根據航運慣例和我國的司法實踐,列名港口的安全責任由船東負責,非列名港口的安全責任由租家負責,而泊位的安全一般由租家負責,除非泊位事先也在租約中指定好了。安全港問題其實是個相當復雜的並且還存在著很多爭議的問題,一個港口可能因為吃水不夠,或缺少大負荷能力的岸吊,或缺少拖輪,導航燈標,或進港航道的橋梁凈高不夠等等各種原因而成為不安全港,這里所說的「安全」並不單指港口在政治上沒有暴亂,沒有戰爭,沒有罷工等狀況。

注釋:所謂受載期是指船舶到達裝港並做好裝貨准備的期限。根據航運慣例,受載期通常是規定一段期限,大約在5——15天左右,如果船舶不能在這個期限內趕到裝港裝貨的話,即視為船東違約,租船人有權解除合同並索賠損失。有不少從事外貿的人會誤解受載期的含義,以為租家只要在這個期限內備好貨物就可以了,事實上他應該在受載期開始前備妥所有貨物,並辦好報關手續。否則船到了無貨可裝或必須等待貨物通關,因此造成船期損失可向租家追討回來。

6) 裝卸效率:按港口習慣速度盡快裝卸
注釋:CQD條款是最常用的一種裝卸效率規定方法,它意味著要由船東來承擔裝卸過程中的船期損失風險。假如在揚州裝棉籽粕這種貨物的習慣裝卸速度是一天500MT,那麼這票貨至少要裝上十天以上,船東也不能向租家抗議裝貨進度太慢,更不能要求他付滯期費,因為在CQD下沒有滯期費這個概念。所以當船東了解到港口的裝卸效率比較低的時候,或者是裝一些特殊的貨物,如水泥,特別怕水濕,一下雨就要停工,而且裝水泥本身效率就很低時,船東就要堅持讓租家提供一個比較高的裝卸效率,例如2000MT/WWD,這一來租家不能在約定的時間內完成裝卸作業的時候,船東就有理有據地可以問租家收取滯期費了。
7)Detention charges at the rate of USD2500 per day or pro-rata, if time lost in waiting for cargo and/or documents at both ends.
Detention charges incurred at loading port, if any, to be settled together with freight payment and which incurred at discharging port, to be settled before commence of discharging.
7)滯留損失:如果船舶在雙邊港口因貨物和/或單證未備妥而遭受船期損失,租船人應每日支付USD2500,不足一天按比例計算。
滯留損失費在裝港發生的話,連同運費一起支付,若在卸港發生,則在卸貨開始前支付。
注釋:剛才我們在上一個條款的解釋時,說到在CQD下是沒有滯期費這個概念的,那麼這里怎麼又跑出了一個「滯留損失」呢?它和滯期費有何區別?我們仔細研究本條款,應該發現這種滯留損失它特指的是船舶到達裝卸兩港後因貨方未備好貨物或單證而被迫在港等待所產生的時間損失,而不是因為裝貨或卸貨進度太慢造成的滯期,這種情況是由於租家的過失導致的,他應當賠償因此給船東帶來的損失。如果我們在裝卸效率條款里訂明了裝卸效率而不是採用CQD的話,那麼就要緊接著來一條滯期費費率條款,而不是滯留損失條款(因為沒有這個需要),反之,採用的是CQD條款的話,則必須要跟上DETENTION條款,否則會給船東帶來難以預計的損失。

注釋:運費條款通常和裝卸費用分擔條款聯系在一起,我們報價的時候也要注意說明是FIO,FIOST,LIFO,FILO,還是LINER TERMS,因為如果租家希望由船東來負責裝卸的話,船東所報的運費單價里就要包含貨物裝卸費用在內,它比起純粹的海運費(FIOST條款)當然就要高出許多。
LINER TERMS:由船東負責裝卸。
FIO:FREE IN AND OUT,船東不管裝,不管卸。
FIOST:FREE IN AND OUT,STOWED,TRIMMED,船東不負責裝卸及理艙,平艙。
FILO:FREE IN LINER OUT,船東不管裝管卸。
LIFO:LINER IN FREE OUT,船東管裝不管卸。
9)Full freight wb paid to owrs nominated bank acct w/i 2 bankdays acol n s/r bs/l which marked 『frt prepaid』. Full freight to be deemed as earned with discountless and non-returnable on cargo shipped on board whether ship and/or cargo lost or not lost.
9) 所有運費在裝完貨並簽發預付運費提單後兩個銀行工作日內付至船東指定帳號。所有運費在裝完貨後即視為已賺取,不得扣減,無須返還,無論船舶和/或貨物滅失與否。
注釋:本條是運費支付條款,對船東能否如期收回運費起著至關重要的作用。租船運費支付與集裝箱班輪付款贖單的做法不太一樣,一般租家都要求先簽發「運費預付」提單再支付運費,但這樣一來對船東就缺乏保障。因為托運人一旦拿到提單可以順利結匯的話,他們往往就不急著付運費了,而船可能馬上甚至都已經到卸港准備卸貨了,如果此時再不收回運費,那麼以後船東去問租家追討運費就難上加難,手上失去可以制衡租家的利器,處處陷於被動,我們常常看到船東被逼急了就宣布扣貨,姑且不論扣貨這一行為本身是否合法,事實上也不是在任何港口任何時候船東都能有效地留置貨物的,如在日本或韓國要扣貨就相當不容易,很難取得代理的協助,有時客觀條件也不容許。更何況如果船東當時簽的是「運費預付」提單,根據法律,他在實際沒有收到運費的情況下並沒有權利去留置屬於收貨人的貨物(當提單在善意收貨人手上時)。船東要改變這種被動的局面,有兩種做法,一種是盡可能縮短運費支付的時限,比如本案是從揚州到仁川,航程非常短,如果支付時間太長,可能船都卸完貨了還沒到付運費的截止期,租家就可以冠冕堂皇地拖著不付運費了;二是船東可將本條款該為所有運費在簽提單後2個銀行工作日支付,這實際上是一種變相地留置提單的做法,變成了租家先付款船東再放單,如此一來對船東就大有保障了。
我們還應該注意到本條款的第二句話,這是對運費的法律地位進行了重新定位,也是金康94與金康76相比,最顯著的變化之一,它在極力地維護船東的利益。按照英國普通法的精神,運費應以到付為原則,因為英國人認為,運輸是一種服務行為,只有在服務結束了才有權利主張報酬,所以哪怕船東簽發的是「運費預付」提單,也只是改變了運費支付的時間而沒有改變運費的法律地位,因而金康94注意到這點,特地加上這么一句話,聲稱預付運費不得扣減,也不退還,無論後來船舶或貨物是否滅失損壞。舉個例子,假設某輪裝貨後簽發了「運費預付」提單,剛開航船舶就觸礁沉沒,貨物全損,此時租家若還未支付運費,那麼根據合同里的約定,他仍然需要支付運費,否則船東有權索賠;若他已付完所有運費,則無權去向船東主張退還運費。

注釋:船舶代理一般來說應該由船東指定,因為他是受船東的委託來處理船舶在港期間相關業務的,並且港口使費和代理費也是由船東支付的,但是租約是本著「契約自由」的原則訂立的,所以租船人時常也把手伸進了代理指定的條款中。無庸諱言,作為船東,當然希望自己來安排裝卸港口的代理,他可以選擇自己比較信任的,代理費用比較便宜而且服務又好的船代,而接受租家指定代理的話,他就失去選擇權了,只能由租船人說了算,那樣他去和代理談港口使費,代理費時就很難壓價,而且由於這個代理是拜租家所賜獲得本航次代理業務的,他難免要知恩圖報一下,在船貨雙方發生爭議的時候,或產生利益沖突的時候,他很難站在船東的立場甚至連中立的立場都無法堅持。

上述條款屬於一般常規性條款,在這些方面雙方當事人較少有爭議。
15) Fumigation:Fumigation if any to be for chtr』s acct. Owr allow 24hrs for fumigation, chtr should compensate owr usd1500 for crews hotel/traffic/ accomodation charges.
15)熏艙:如果需要熏艙的話,由租船人承擔熏蒸費用。船東允許熏艙24小時,租船人需補償船東USD1500,作為船員食宿交通費用。
注釋:裝載糧食等農副產品或易生蟲子易攜帶病菌的貨物,商檢動植檢會要求強制熏蒸,取得檢驗合格證書後才能放行。熏艙涉及到費用和船期損失的問題,作為船東自然要將這些都轉嫁給租家。
16) Dispute to be settled by arbitration in HK and English law to be applied.

注釋:雙方當事人可以自由約定解決爭議的方式,根據有仲裁無訴訟,無仲裁可訴訟原則,如果在租約里訂明了仲裁條款,那麼任何一方當事人都無權再向任何法院提起訴訟。在司法實踐中,選擇訴訟地點或仲裁地點以及適用法律是非常關鍵的,直接關繫到案子能否勝訴的問題,所以當事人都力爭選擇對自己最有利的地點作為仲裁地,不過最後妥協的結果往往是選擇一個雙方都能接受的第三地來仲裁。香港,倫敦,紐約是世界知名的仲裁中心,也是租約當事人最常選擇的三個地點。
